Subject: Update on ARM

Dear APM partners,

Today is one of the most significant days in ARM's history.  We have just
announced that we have agreed terms to be acquired by Softbank, a deal the
ARM Executive Committee and I believe represents a great opportunity for
ARM and our many partners around the world.  I am hugely excited by what
the future will hold and I will talk to you further about this at APM if
you are able to join us.

I wanted to write to you directly as we have built up incredibly close
relationships over the last 25 years.  First, I want to assure you that
this announcement will have no impact on our day-to-day operations.  The
proposed deal with Softbank is focused on enabling ARM to accelerate
the growth of our business and that will be helped by the investment
power brought by being a member of the Softbank group companies.
        
As reflected in the announcement this morning, it is absolutely clear how
committed Softbank's leadership team is to retaining the ARM business
model, culture and brand.  In addition to that, Softbank has given us
strong assurances that it will invest in the future of the ARM partnership.
Softbank has made assurances that it intends to at least double the ARM
headcount in the UK over the next five years and increase the ARM headcount
outside of the UK.

Softbank is a highly successful technology group that has built its
reputation on being entrepreneurial.  Its ambition is to enable the next
technology revolution, delivering advanced computing technology across
sectors and in all markets to bring about a smarter and more connected
planet.  It is a vision we all share.

The ARM Board has therefore recommended acceptance of Softbank's offer
as it represents an excellent deal for everyone and especially our people
and partners.  We have several steps to complete before we officially join
the Softbank family and I will write to you when there are any major
updates.  I want to assure you once again that we remain in a business as
usual mode.

directly or through your key ARM contacts if you have any specific
concerns or thoughts.

I look forward to seeing you at our upcoming ARM Partnership Meeting in
Cambridge and talk to you about this next chapter in our partnership's
story.
